Riyadh - Mubasher: Jamjoom Pharmaceuticals Factory Company (Jamjoom Pharma) has signed a binding share subscription agreement and a shareholders’ agreement with Lifera, a commercial-scale biopharmaceutical company owned by the Public Investment Fund (PIF).

The agreements follow a non-binding memorandum signed on 27 October 2025, regarding a strategic partnership to localize the production of vaccines and biopharmaceuticals in Saudi Arabia.

Under the terms of the deal, Jamjoom Pharma will subscribe to 4,900 new shares in Biologics Company, a special purpose vehicle established by Lifera to build and operate a manufacturing facility.

The shares carry a nominal value of SAR 100 each, bringing the total subscription value to SAR 490,000.

Upon completion, Lifera will hold a 51% stake in the venture, while Jamjoom Pharma will own 49%.

The shareholders’ agreement includes a commitment to fund Biologics Company for a duration of 5 years in accordance with an approved business plan.

While the General Authority for Competition has issued a non-objection certificate for the economic concentration, the final completion remains subject to customary regulatory approvals and conditions.

Jamjoom Pharma stated that the broader financial impact will be determined following the finalization of the project's business plan.
